General Terms and Conditions of Sale

1. Scope

   These Terms and Conditions govern all business dealings between
   Ehrler & Beck Vakuum- und Drucklufttechnik GmbH
   (“the Seller”) and its customers. Our offers are directed
   exclusively to commercial clients within the meaning of § 14 BGB.
   We do not supply consumers as defined in § 13 BGB.

2. Offers and Formation of Contract

   All information shown on our website is non-binding and serves only as an invitation
   to submit an enquiry. After receiving your enquiry we send an individual written
   offer by e-mail, stating its validity period. A contract is concluded only when you
   accept the offer in writing and we confirm the order.

3. Prices and Terms of Payment

   Prices are quoted net, exclusive of VAT, packing, and shipping.
   Delivery is made after full pre-payment unless otherwise agreed in writing.
   Payment is normally by bank transfer; alternative methods require prior approval.

4. Delivery and Shipping

   We ship worldwide. Delivery times and charges depend on the goods’ type, weight,
   dimensions, and destination and are specified in the offer. Reasonable part
   shipments are permitted. Risk passes to the customer once the goods are handed
   over to the carrier.

5. Retention of Title

   Title remains with the Seller until all amounts owed have been paid in full.

6. Warranty

   Statutory warranty rights apply for at least twelve (12) months from the purchase
   date unless a different period is stated in the offer. Items with longer
   manufacturer warranties will be identified individually.

7. Limitation of Liability

   The Seller is liable without limit in cases of intent or gross negligence.
   For simple negligence involving essential contractual duties (“cardinal duties”),
   liability is limited to the foreseeable loss typical for this contract type.
   Nothing in this clause limits liability for injury to life, limb, or health.

8. Jurisdiction and Applicable Law

   Place of performance and exclusive venue for all disputes is Stuttgart,
   Germany, insofar as legally permissible. German law applies exclusively;
   the CISG is excluded.
